WORC Info Sheet

Tips for WORC clients who are considering becoming a corporation:

  • Do not file for a fictitious name or a Philadelphia Business Privilege License until you have decided to be either a sole proprietor, Corporation or LLC.  Only file fictitious name form if you are to be a sole proprietor, not for an LLC or INC.
  • Discuss your legal entity choices with an accountant if possible before you decide.
  • Do not file for EIN # until you are absolutely positive of your choice.
  • Do not file for the Philadelphia Business License until you are absolutely positive of your choice.
  • Our package for filing a Corporation/LLC is $750.00.  This includes:
    1. File Articles/Certificate with State and Filing Fee
    2. Submit Sub-S if necessary
    3. Corporate Seal
    4. Publishing Notice (does not include the fee for publishing)
    5. Binder with Bylaws, Minutes, Operating Agreement, Certificates, Etc.
    6. One set of Special Minutes if needed for any amendments (Filing fee add’l)
    7. Also includes, one year on retainer with Michelle A. Winter, Esquire at no charge

 

 CORPORATION INFORMATION SHEET


Please review the following information regarding your corporation.  These topics address the questions most often asked.  These matters are generally discussed during the consultation, but due to the amount of information given, we often receive phone calls with questions about the following:


1.
We will not receive your Articles/Certificate back for three (3) to (6) weeks.  When we receive them, we mail a copy to you immediately so that you may open your checking account.  You do not need to call to see if the Articles/Certificate are back.

2. We file your sub-chapter S elections as soon as we receive your Articles/Certificate back.  We request copies back with the filed date.  The copies will be in your completed binder at the end of the process. If you are filing as an LLC, it is up to your accountant to decide if your company will be filing for Sub-S status.  Please consult with your accountant about this option. 

3. It will be approximately 4-6 weeks after you started the incorporation process before you will receive the publishing information from our office.  You need to attach a check and mail with the paperwork we provide to the legal paper in your county.  Once you publish, we will receive the proof of publishing and will at that time, put your binder together.  If you are in Montgomery County, you will receive two different forms to publish.  Montgomery County Law Reporter requires a specific form.  Please send the correct form to the correct paper.  (Noted at the bottom of publication.)

4. The entire process from the time we begin until you receive your binder could take up to four (4) months; much of this depends on how long it takes us to receive the Articles/Certificate back as well as how quickly you publish the Notice we send to you in the paper.  It also depends on whether or not your account is paid in full.  Please do not call the office asking the status unless you are aware that there has been a problem or unless it has been over four (4) months since we began incorporating you.

5. If you are sending me documents for review, please allow at least 7-10 days for a turn-around time.  I have a busy practice in addition to what I do for WORC.  I cannot always get documents back to you in a 2-3 day period although I do try to.  If it is an emergency situation, please inform my staff.

6. If you have a simple question, please use my e-mail address.  We review messages twice a day and if I can send back a simple response, I will respond immediately. 

7. Please do not call the office to see if I received your payment.  We send statements every month.  If you believe you made a payment and did not get credit for it, please call my office manager, Kelly, and she will research it for you.
